Legal name and status
Palanca Bridge Corp is a U.S. Delaware C-Corporation. Contracts are executed under U.S. law and priced in U.S. dollars. Governance sits with the U.S. entity.
Nature of services
Palanca Bridge provides advisory services only — including compliance and integrity screening, commercial and counterparty due diligence, market and project validation, partner verification, institutional-environment briefings, and USG / DFI facilitation with compliant local execution. Nothing on this site constitutes legal, investment, tax, or immigration advice. Where specialized services are required, we work alongside licensed U.S. attorneys, registered broker-dealers, immigration counsel, and other qualified professionals.
Perimeter of our practice
Perimeter
Palanca Bridge does not: take commissions, success fees, finder's fees, percentage-of-deal compensation, or any contingent arrangement; act as a broker-dealer or securities intermediary; lobby or represent foreign governments (no FARA-registrable activity); provide legal advice or engage in the unauthorized practice of law; navigate CFIUS reviews on behalf of clients; offer intelligence, access, non-public-information, or introduction services; or bill by the hour to end clients.
Institutional-Environment Briefings
Binding scope statement
Palanca Bridge's Institutional-Environment Briefings are analytical products based on public information and institutional research. They are not, and will not be sold, framed, or delivered as: intelligence products; access services; introductions; non-public information; or any service that would require FARA registration or resemble unauthorized practice of law. The Custom Briefing variant is never sold as a standalone deliverable.
Market listings
A market listing on this site states capability under U.S. governance and compliance standards. It does not constitute a claim of physical presence, a local office, or an existing engagement in that market. Palanca Bridge names an individual local partner only when the relationship is current, contracted, and consented. Certain markets are excluded from engagement under our compliance policy; the current list is published at /markets/excluded.
Contributor disclosure
Advisors and contributors serve in a strictly non-operational capacity and do not act on behalf of Palanca Bridge in any official function. Contributors who hold or have held public office do so in a personal, non-operational advisory capacity only, provide no non-public information, and do not use official position, authority, or influence on behalf of Palanca Bridge or its clients. Any such advisory relationship is structured to comply with the U.S. Foreign Corrupt Practices Act and applicable law.
Compliance program
Palanca Bridge operates a formal compliance program under a Chief Compliance Officer. The program includes written engagement-acceptance policies with defined red-flag triggers; KYC and beneficial-ownership diligence; OFAC / EU / UN sanctions and PEP screening; FCPA anti-bribery controls; a conflicts and independence register; and defined walk-away discipline. The program rests on four written policies — Engagement Acceptance & Red-Flag; Conflicts of Interest; Confidentiality & Records Retention; and ABC/AML — reviewed annually by retained external counsel. A one-page program summary is available on request from compliance@palancabridge.com.
Governance architecture
Palanca Bridge's Chief Compliance Officer holds engagement-acceptance authority and final sign-off. In a two-principal firm, the counterweights to that authority are structural, not discretionary: above-threshold declinations carry a mandatory second review by the Managing Partner Europe; Compliance Clearance Letters carry a countersignature protocol, so no signature product depends on a single principal; and a deadlock-resolution clause provides for escalation and a cooling-off period and for an external tiebreaker, with the Chief Compliance Officer's compliance-acceptance authority carved out of that clause.
